NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement (hereinafter referred to as the "Agreement") is entered into as of September 26, 2024, by and between:
Section 8 Boss, having its principal place of business (hereinafter referred to as "Disclosing Party" or "Section 8 Boss "), and Altimate AI, having its principal place of business (hereinafter referred to as "Receiving Party" or "Altimate AI").
RECITALS
WHEREAS, the Disclosing Party possesses certain confidential and proprietary data related to its customer base and course offerings, including but not limited to customer information, sales figures, educational content, strategies, and related data ("Confidential Information"); WHEREAS, the Receiving Party, Altimate AI, desires to use the Confidential Information solely for the purpose of improving its AI sales service provided to Section 8 Boss and for no other purpose; and WHEREAS, the parties wish to enter into this Agreement to protect the confidentiality of the information disclosed.
NOW, THEREFORE, in consideration of the promises and covenants herein, the parties agree as follows:
1. Definition of Confidential Information For the purposes of this Agreement, "Confidential Information" means any and all data, information, and materials provided by the Disclosing Party to the Receiving Party, whether in written, electronic, or oral form, including but not limited to:
Customer data (names, contact information, preferences, etc.)
Course content and materials
Sales and financial data
Marketing strategies and plans
Any other business, technical, or financial information disclosed in the course of the relationship.
2. Obligations of the Receiving Party
The Receiving Party agrees to:
a) Use the Confidential Information solely for the purpose of improving the AI sales service for the Disclosing Party;
b) Not disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party;
c) Take all reasonable precautions to protect the confidentiality of the Confidential Information and prevent unauthorized disclosure;
d) Limit access to the Confidential Information to employees or agents who need to know the information for the purpose outlined in this Agreement and who are bound by confidentiality obligations no less restrictive than those in this Agreement.
3. Exceptions to Confidentiality
The obligations of confidentiality shall not apply to information that:
a) Is or becomes publicly available through no fault of the Receiving Party;
b) Is lawfully received by the Receiving Party from a third party without breach of any confidentiality obligation;
c) Is independently developed by the Receiving Party without reference to the Confidential Information; or
d) Is required to be disclosed by law or court order, provided that the Receiving Party promptly notifies the Disclosing Party in order to provide an opportunity to seek a protective order or other legal remedies.
4. Ownership of Confidential Information
The Confidential Information shall remain the property of the Disclosing Party. The Receiving Party acknowledges and agrees that nothing in this Agreement grants any ownership rights or license to the Confidential Information.
5. Term and Termination
This Agreement shall commence on the date first written above and shall continue until terminated by either party with 30 days' written notice. Upon termination, the Receiving Party shall return or destroy all Confidential Information in its possession, including any copies, and certify in writing to the Disclosing Party that it has done so.
6. Remedies
The Receiving Party acknowledges that unauthorized disclosure of Confidential Information may result in irreparable harm to the Disclosing Party for which monetary damages may not be adequate. The Disclosing Party shall have the right to seek injunctive relief in addition to any other remedies available under law or equity.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions, agreements, or understandings of any kind.
9. Amendments
This Agreement may only be amended or modified by a written agreement signed by both parties.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
